User Terms of Service for Meritudio Bioinformatics Cloud

Welcome to Meritudio! These User Terms of Service ("Terms") govern your access to and use of the Meritudio Bioinformatics Cloud ("Cloud"). By accessing or using the Cloud, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Cloud. These Terms may be updated by Meritudio at any time, and your continued use of the Cloud after such changes constitutes your acceptance of the revised Terms.


1. Acceptance of Terms

By registering for an account, subscribing to the Cloud, or using any of its services, you confirm that you have read, understood, and agree to these Terms. If you are using the Cloud on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.


2. Cloud Services

Meritudio provides a cloud-based bioinformatics platform that allows users to:

• Store, upload, and manage data.

• Perform data analysis using tools and algorithms provided by Meritudio.

• Access and download analysis results.

Meritudio reserves the right to modify, suspend, or discontinue any part of the Cloud at any time without prior notice.


3. User Responsibilities

3.1 Account Registration

• You must provide accurate and complete information during registration.

• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Data Upload and Usage

• You retain ownership of any data you upload to the Cloud ("User Data").

• You are solely responsible for ensuring that your use of the Cloud and User Data complies with all applicable laws, regulations, and third-party rights.

• You grant Meritudio a non-exclusive, worldwide, royalty-free license to use, store, and process User Data solely for the purpose of providing the Cloud services to you. This license does not extend to the use of your User Data for the benefit of any other user or third party.

3.3 Prohibited Activities

You agree not to:

• Use the Cloud for any illegal or unauthorized purpose.

• Upload or share data that infringes on intellectual property rights, privacy rights, or any other rights of third parties.

• Interfere with or disrupt the integrity or performance of the Cloud.

• Attempt to gain unauthorized access to the Cloud or its related systems.

• Modify, adapt, merge, make derivative works of, disassemble, decompile, reverse compile, or reverse engineer any part of the Cloud, except to the extent expressly permitted by applicable law.

• Use the Cloud to build a similar or competitive product or service.


4. Subscription and Payment

4.1 Subscription Plans

• Meritudio offers various subscription plans, which may include free and paid tiers.

• Paid subscriptions are billed in advance but are not automatically recurring. You will need to manually renew your subscription if you wish to continue using the paid services after the subscription period ends.

4.2 Cancellation and Refunds

• You may cancel your subscription at any time. However, no refunds will be provided for any unused portion of the subscription period.


5. Data Privacy and Security

5.1 Privacy Policy

Your use of the Cloud is subject to Meritudio's Privacy Policy, which explains how we collect, use, and protect your personal information.

5.2 Data Security

Meritudio takes data security utmost seriously and employs industry-standard measures to protect your information. While we make every effort to ensure the safety of your data, no system is entirely immune to risks. We encourage users to take additional precautions, such as using strong passwords and limiting access to their accounts


6. Intellectual Property

6.1 Ownership of Cloud and Content

• The Cloud, including its software, algorithms, and content, is owned by Meritudio and protected by intellectual property laws.

• You retain complete ownership of any intellectual property rights in the work you perform using the Cloud on your own data. Meritudio does not claim any ownership over the results or outputs generated from your use of the Cloud.

6.2 Restrictions on Use

• You may not copy, modify, distribute, or create derivative works of the Cloud without Meritudio's prior written consent. Derivative works include, but are not limited to, any modifications, adaptations, or new creations based on the Cloud's software, algorithms, or content, such as creating a new product, service, or platform derived from the Cloud.

• You may use Meritudio-generated plots, statistical analyses, graphs, and other materials in educational or research papers and materials, provided you include the following attribution: "Created using Meritudio Bioinformatics Cloud (meritudio.com)."


7. Third-Party Content and Services

7.1 Public Datasets

The Cloud may provide access to public datasets or research materials ("Public Datasets"). We encourage you to review the terms and conditions set by the dataset owners or applicable laws to ensure your use of Public Datasets aligns with their requirements. If you have any questions, please reach out to us for guidance.

7.2 Third-Party Links

The Cloud may contain links to third-party websites or services ("Third-Party Properties"). While we strive to provide useful resources, Meritudio is not responsible for the content or practices of Third-Party Properties. We recommend reviewing the terms and policies of any third-party services you choose to access.


8. Platform Updates and Analysis Compatibility

Meritudio periodically updates the Cloud to improve functionality, security, and performance. While we strive to maintain backward compatibility, these updates may occasionally result in previously generated analyses not rendering properly. In such cases, users may request additional quota or resources to re-run their analyses at no extra cost. Please contact our support team at support@meritudio.com for assistance. 


9. Termination

Meritudio may suspend or terminate your access to the Cloud if you violate these Terms or engage in activities that harm the Cloud or other users. We will provide you with notice and an opportunity to remedy the issue, where applicable, before taking such action. Upon termination, your right to use the Cloud will immediately cease.


10. Disclaimer of Warranties

The Cloud is provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.


11. Limitation of Liability

To the fullest extent permitted by law, Meritudio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Cloud.


12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles.


13. Changes to Terms

Meritudio reserves the right to modify these Terms at any time. We will notify you of any changes by posting the updated Terms on our website. Your continued use of the Cloud after such changes constitutes your acceptance of the revised Terms.
